The present general conditions of sale apply by right to all sales of products concluded between :

- VALDENAIRE & CO, SAS Société par Actions Simplifiée, with a capital of €20,000, registered with the Registre du Commerce et des Sociétés de SAINT-ETIENNE under number 749 864 773, having its registered office at 24 Bis Allée de l'Artisanat, ZA les Loges 42340 VEAUCHE, FRANCE.
Hereinafter referred to as "The Seller",
And,
- Non-trading individuals with the capacity to contract who wish to make a purchase of one or more items marketed on the website accessible from the URL address www.frenchmarket.eu.
Hereinafter referred to as "The Customer",

In accordance with the provisions of article L 113-3 of the French Consumer Code, the present general terms and conditions of sale are brought to the attention of the Customer when the order is placed, and appear on the website of SAS VALDENAIRE & CO.

SAS VALDENAIRE & CO may modify its terms and conditions of sale at any time, as published on its website www.frenchmarket.eu.

The general sales conditions applicable are those in force on the website www.frenchmarket.eu, on the day the order is placed by the Customer.


ACCEPTANCE OF THE GENERAL CONDITIONS OF SALE

Any order placed by the Customer implies his unreserved acceptance of these terms and conditions of sale.

The Customer is informed and accepts that the Vendor may entrust delivery operations to third parties of its choice.

INFORMATION ON THE PRODUCTS

The products sold by the Company SARL VALDENAIRE & CO are those listed on the website https://www.frenchmarket.eu/en/ on the day of its consultation by the Customer.

Each product is described in detail, including the photograph, price, sizes, available colours and main characteristics.

Depending on the colour resolution of the Customer's computer screen, the photographs of the products may include slight differences between the product and the illustration.

The Company SAS VALDENAIRE & CO undertakes to deliver products that comply with the legal and regulatory requirements of health and safety.

ORDERS

The Customer makes the order online, on the website accessible from the URL https://www.frenchmarket.eu/en/.

The Customer must create a customer account in the "my account" section.

Any order placed by the Customer obliges the latter to pay in full when the order is placed.

Thus, any order will be definitively taken into consideration only after acceptance of the payment.

Any order cannot be modified as soon as it acquires the status "in preparation".

The Company SAS VALDENAIRE & CO undertakes to honour orders within the limits of available stocks.

If the item ordered by the Customer is not available, he/she will be informed without delay and will have the option of cancelling the order, and will be reimbursed within seven days.

In case of unavailability for more than seven days or in case of permanent stock shortage, the Company SAS VALDENAIRE & CO will cancel the order and will proceed to the reimbursement of the sums paid by the Customer.

The Company SAS VALDENAIRE & CO has the right to cancel or refuse any order from a Customer with whom there is a dispute concerning the payment of a previous order.

The Company SARL VALDENAIRE & CO may issue a credit note to the customer in case of unavailability of a product following a return for exchange or unavailability of size.

The validity period of the credit note is one (1) year, for any new order made on the website accessible from the URL https://www.frenchmarket.eu/en/.

However, the Customer has the right to ask for the refund of the credit note, during the whole validity period of the latter.
Frenchmarket.eu may be entitled to request proof of identity and/or residence from the Customer to ensure the identity of the holder of the bank card used for payment.

RATES

The prices indicated on the product sheets are expressed in Euros, and include all taxes, excluding shipping costs.
The value added tax applicable is that in force in metropolitan France on the day of the order.
The Company SARL VALDENAIRE & CO reserves the right to modify its prices at its convenience.
The products ordered are invoiced at the rates in force at the time of the order, subject to the availability of products.
The total price indicated in the order confirmation includes the price of the products, the handling fees, the shipping fees.
Orders placed on the website https://www.frenchmarket.eu/en/, destined for outside metropolitan France, may be subject to possible taxes and customs duties.
The Customer is required to inform himself of the possible customs duties and fees applicable to his situation in case of order.
These customs duties and possible expenses are the exclusive responsibility of the Customer.

For quantity discounts, the rules are as follows: for every 2 items purchased, receive a -5% discount; for every 3 items purchased, receive a -10% discount.

PAYMENT

Upon acceptance of the order by the Seller, the Customer undertakes to pay the Seller in full.

Failing this, the order shall not be processed.

The payment of the order is made :

      - either by credit card (Visa, MasterCard etc)

      - or by Paypal

      - or by ApplePay

Transactions carried out on the website https://www.frenchmarket.eu/en/ are protected by the universal SSL (Secure Socket Layer) encryption system.
The Customer's bank details are only known to the "PayPlug" banking establishment and do not pass through the web server of the https://www.frenchmarket.eu/en/ website

DELIVERY

The ordered products are sent to the delivery address indicated by the Customer at the time of his order, provided that this address is included in the authorized delivery zones, specified in the sales offer.
In case of error or omission by the Customer in the communication of the delivery address, the Company SAS VALDENAIRE & CO shall not be held responsible for the impossibility of delivering the ordered products.
The Company SAS VALDENAIRE & CO undertakes to deliver the products within a maximum period of seven (15) days, from the receipt of the payment.
If the delivery time is exceeded and not justified by a case of force majeure, the Customer will have the right to ask for the cancellation of the sales contract and to obtain the reimbursement of the sums paid within fourteen (14) days.
The assumptions of return of packages by the carrier are the exclusive responsibility of the Customer.
The Company SAS VALDENAIRE & CO will contact the Customer by e-mail, so that he/she can communicate his/her complete address, as well as a cheque for the shipping costs of his/her order in the amount of:_

Six Euros (6,00 Euros) for a shipment of the product by So Colissimo Domicile (home delivery),

_ Five Euros (5,00 Euros) for a shipment by So Colissimo Relais (delivery in local shops).



Without a response from the Customer within one (1) month from the sending of the e-mail, the Company SAS VALDENAIRE & CO will proceed to the sale of the ordered products.

The Customer will benefit from a credit note of an amount corresponding to the amount of the order, excluding shipping costs, or will be able to ask for a refund of his credit note.

For delivery "against signature" (at home or at a collection point), we advise you to make a reservation on the paper or digital delivery note, or to refuse delivery, if the parcel appears to be damaged or repackaged by the carrier.
As soon as the customer takes possession of the goods without making a reservation to the carrier, the risks are transferred to the customer.
Delivery to a collection point requires the customer to collect the parcel within the allotted time (14 days for Mondial Relay, 10 working days for Colissimo).
Once the parcel has been returned to the Vendor for the reason "delivery time exceeded", shipping costs will remain at the customer's expense, and will therefore be deducted from any refund or credit note.

RIGHT OF WITHDRAWAL

The Customer has a fourteen-day cooling-off period to return the product to the company SARL VALDENAIRE & CO for reimbursement without penalty, starting from the date when he/she takes physical possession of the goods.
The Customer must notify by e-mail his will to renounce to the sale within the fourteen clear days, at the following address: boutique@frenchmarket.eu.
The customer can use the following withdrawal form or any other unambiguous statement:

"(Please complete and return this form only if you wish to withdraw from the sale).

I, the undersigned (name, first name, address) hereby notify you of my withdrawal from the contract for the sale of the goods (specify description), ordered on (specify date) and received on (specify date)
Signature and date".

The customer will receive without delay an acknowledgement of receipt of the withdrawal.
In order for this withdrawal period to be respected, the Customer must transmit his communication relating to the exercise of the right of withdrawal before the expiration of the withdrawal period.
In case of withdrawal, the costs resulting from the delivery of the returned products shall be borne by the Customer.

Upon receipt of the returned products, the refund is made within ten days using the same payment method as the Customer used for the initial transaction, unless the Customer and the seller expressly agree on a different method, in any case, this refund will not incur any costs for the Customer.

The products must be returned without undue delay and, in any event, no later than fourteen (14) days after the communication of the decision to withdraw. This deadline is deemed to have been met if you return the products before the expiry of the fourteen (14) day period.

In any case, the products must be returned in new condition, with their labels, in their original packaging, and accompanied by the invoice.

responsibility of the consumer is engaged in case of depreciation of goods resulting from handling other than those necessary to establish the nature, characteristics and proper functioning of these goods, namely when the items are returned incomplete, damaged, used or soiled.

Special conditions applicable to the sale of underwear and care products (boxers, briefs, underwear, socks, bras, swimwear:

For reasons of hygiene, except for manufacturing defects, the right of withdrawal cannot be exercised by the Customer in this type of sales contract.

Special conditions for gift bags / gift wrapping

Except for manufacturing defects, products identified as "gift wrapping" or "gift pouch" cannot be refunded or exchanged.

Concerning the return of items that have benefited from the quantity discount offer, in the event that after the return of one or more items that have benefited from a quantity discount, the customer keeps only one item, the latter cannot benefit from a discount, and the price will therefore be that of the original item before the quantity discount offer.
In the event of a refund, the difference between the discount on the last item kept by the customer will be deducted from the total amount refunded.

GUARANTEES

The Seller undertakes to deliver a good in conformity with the order placed by the Customer.

In case of non-conformity, the Seller is responsible for the defects of conformity of the good object of the contract, under the conditions provided for in article L 211-4 and following of the Consumer Code, as well as the hidden defects of the thing sold, under the conditions provided for in articles 1641 and following of the Civil Code.

"Article L.211-5 of the Consumer Code:
To be in conformity with the contract, the goods must :

1° Be fit for the purpose usually expected of similar goods and, where appropriate :
- correspond to the description given by the seller and possess the qualities that the seller presented to the buyer in the form of a sample or model;
- have the qualities that a buyer may legitimately expect in view of the public statements made by the seller, by the producer or by his representative, particularly in advertising or labelling;

2° Or have the characteristics defined by mutual agreement between the parties or be suitable for any special use sought by the buyer, brought to the attention of the seller and that the latter has accepted

The customer is informed that when he acts in legal guarantee of conformity, he benefits from:

- a choice between repair or replacement of the good. However, the Seller may not proceed according to the buyer's choice if this choice entails a cost that is clearly disproportionate to the other method, given the value of the goods or the importance of the defect. The seller is then obliged to proceed, unless this is impossible, according to the method not chosen by the buyer.

The legal guarantee applies independently of any commercial guarantee that may have been granted.

If the customer decides to bring into play the guarantee against hidden defects of the thing sold, within the meaning of Article 1641 of the Civil Code, and only in this case, he can choose either the resolution of the sale or the reduction of the price in accordance with Article 1644 of the Civil Code.

STOCK

The Customer is informed that, for the products presented for sale on the website https://www.frenchmarket.eu/en/, delivery times and prices are only guaranteed within the limits of available stocks.

RESERVATION OF OWNERSHIP

The products are sold under reserve of property.
The Seller retains ownership of the products until full payment of the price by the Customer.

FORCE MAJEURE

Neither of the parties may be held responsible if they are prevented or delayed from fulfilling their obligations due to force majeure, resulting from an unforeseeable, irresistible event outside their control.

In particular, in the event of fire, climatic events, natural disasters or any other accident causing the total or partial destruction of the company, a general strike, lack of motive power or raw materials resulting from a general cause.
In the event of force majeure, delivery shall be postponed to a later date after the force majeure event has ceased, without the Customer and the Seller being able to claim any compensation for any damage whatsoever.
If the force majeure event lasts longer than four (4) weeks, either party shall have the right to terminate the contract by registered letter with acknowledgement of receipt, without charge.
In this case, the Seller shall refund the sums paid by the Customer at the time of placing the order, to the exclusion of any other compensation due by the Seller to the Customer.

INFORMATION AND PERSONAL DATA

According to the law n°78-17 Informatique et Libertés of January 6th, 1978, the Customer has a right of access, rectification and opposition, at any time on all his personal data by formulating a request transmitted by mail to the Company SAS VALDENAIRE & CO, 24 Bis Allée de l'Artisanat, ZA les Loges 42340 VEAUCHE.

Depending on the choices made by the Customer when creating or consulting his Customer account, the Customer may receive offers from the Company SAS VALDENAIRE & CO, its service providers and its partners.

The Customer may at any time make a request to modify the choices made, either by accessing the "my account" section on the website https://www.frenchmarket.eu/en/, or by sending a request by e-mail to the address boutique@frenchmarket.eu.

INTELLECTUAL PROPERTY

All texts, comments, images and photographs of products reproduced on the website https://www.frenchmarket.eu/en/, are the exclusive property of the Company SAS VALDENAIRE & CO, and are protected by copyright.
Any reproduction, even automated, of the product presentation pages or any other pages of the site, for commercial purposes, is prohibited.
Only the automatic indexing of the pages of the site resulting from natural referencing in Internet search engines is authorized.

Any other use constitutes an act of infringement.
The Company SAS VALDENAIRE & CO reserves the right to take legal action to guarantee its rights against all persons acting in violation of these provisions.

APPLICABLE LAW AND COMPETENT JURISDICTION

The present general conditions of sale are governed by French law.

Any dispute between the Seller and the Customer resulting from the formation, the interpretation or the execution of the sales contract will be, in the absence of an amicable solution, submitted to the territorially competent Courts.
